Welcome to Reaberry. These Terms of Service("Terms" or "Agreement") govern your access to and use of our software, websites, applications, and related services (collectively, the"Service"). Reaberry provides a software‑as‑a‑service (SaaS) platform that enables real estate professionals and organizations to create and manage real estate websites, integrate real estate listing data feeds (including RESO API, IDX,VOW, CREA, and other MLS data where permitted), manage leads, and communicate with clients and website visitors.
By accessing or using the Service, you confirm that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use the Service.

IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION: These terms include provisions that govern how disputes between you and Reaberry will be resolved, including mandatory arbitration and a waiver of class action rights,where permitted by applicable law.

Eligibility and Acceptance of Terms

You must be at least eighteen (18) years of age and capable of forming a legally binding contract in your jurisdiction to use the Service. By using the Service on behalf of a business, brokerage, or other organization, you represent and warrant that you have the authority to bind that entity to these Terms. We may update or modify these Terms from time to time. Updated versions will be posted on our website with a revised effective date.Your continued use of the Service after changes are posted constitutes acceptance of the revised terms.

Description of Services

Reaberry provides a cloud‑based software platform designed for real estate professionals, brokerages, teams, and related businesses. The Service may include website hosting, content management systems, lead management tools,customer relationship management (CRM) functionality, marketing tools, artificial intelligence features such as chatbots, AI search using Open AI, Claude and or other AI platform providers and integrations with third‑party services including Multiple Listing Services (MLS), Real Estate Standards Organization (RESO) APIs, Internet Data Exchange (IDX), Virtual Office Website (VOW) systems, Canadian Real Estate Association (CREA) payment processors, and communication platforms.The availability of specific features may vary depending on your subscription plan, geographic location, and authorization from applicable real estate boards or regulatory authorities. Reaberry does not act as a real estate brokerage, agent, or listing service and does not participate in real estate transactions between buyers, sellers, landlords, tenants, or agents.

User Accounts and Responsibilities

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information and to maintain and promptly update your information as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access, security breach, or suspected misuse of your account. Reaberry reserves the right to suspend or terminate accounts that contain false information, violate these Terms, or create risk to the security or operation of the Service.

Acceptable Use of the Service

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and industry standards. You agree not to misuse the Service or attempt to interfere with its normal operation. Prohibited activities include unauthorized access to systems or data, distribution of malicious software, scraping or automated collection of data without authorization, transmission of spam or unsolicited communications, impersonation of another person or organization, infringement of intellectual property rights, or use of the Service for fraudulent or deceptive purposes. We may monitor system activity for security, operational, or compliance purposes and may suspend or restrict access if misuse is detected.

Real Estate Data Feeds and Board Requirements

If you request integration of a real estate listing data feed, including but notlimited to RESO API, IDX, VOW, CREA DDF® services, or any other MLS data, you acknowledge and agree that access to such data is subject to the rules, regulations, and approval of the applicable real estate board, brokerage, or data provider. You are solely responsible for obtaining authorization from your brokerage and real estate board, executing any required agreements, paying any applicable fees, and complying with all board policies and licensing requirements. Reaberry acts solely as a technology provider that integrates data supplied by authorized third parties. Reaberry is not responsible for the accuracy, completeness, availability, or licensing of listing data provided by external sources.

Commercial Electronic Messages and Communications

Reaberry communicates with users in accordance with applicable anti‑spam and electronic communications laws, including Canada's Anti‑Spam Legislation (CASL),the CAN‑SPAM Act, and similar regulations where applicable. By providing your contact information, you consent to receive service‑related communications, including account notifications, billing information, and technical updates. Marketing communications will only be sent where permitted by law and may be withdrawn at any time using the unsubscribed instructions provided in the communication.

User Content

You may submit content through the Service, including text, images, listings, messages, and other materials ("UserContent"). You retain ownership of your User Content; however, you grant Reaberry a non‑exclusive, worldwide, royalty‑free license to host, store, reproduce, and display such content as necessary to operate and improve the Service. You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You agree not to upload or publish content that is unlawful, misleading, defamatory, harmful, or infringing on the rights of others. Reaberry reserves the right, but not the obligation, to remove or restrict access to any User Content that violates these Terms or applicable laws.

Intellectual Property Rights

All software, design elements, trademarks, logos, documentation, and other materials provided through the Service, excluding User Content, are the property of Reaberry or its licensors and are protected by intellectual property laws.You may not copy, modify, distribute, sell, sublicense, or create derivative works from the Service without prior written consent from Reaberry, except as expressly permitted by these Terms.

Third Party Services and Integrations

The Service may integrate with or provide access to third‑party services, including payment processors, analytics tools, social media platforms, communication services, and real estate data providers. These third‑party services operate independently and are governed by their own terms and privacy policies. Reaberry does not control and is not responsible for the availability, performance, or security of third‑party services.

Billing, Renewal, Refund, and Payment Policies

A. Billing Policies
Certain features or services offered by Reaberry may require payment of fees or other charges. By subscribing to or using any paid services, you agree to the pricing, billing, and payment terms in effect at the time of purchase. These terms may be updated periodically. Reaberry reserves the right to introduce new services subject to additional fees or to modify existing fees and charges at its sole discretion. Any changes to pricing or payment terms will take effect at the start of the next billing cycle following notice to you, provided in accordance with these Terms or through other reasonable communication methods.
B. Automatic Renewal
All Reaberry subscriptions automatically renew using the payment method associated with your account unless you cancel your subscription before the renewal date.
By purchasing a subscription with automatic renewal, you authorize Reaberry to charge the payment method on file for the applicable renewal fees. Subscription charges may vary based on your selected plan, usage of services, applicable taxes, or additional features such as overage charges or add-on services. Your subscription will renew on a monthly or annual basis, depending on the billing cycle selected at the time of purchase. Renewal will occur on the same calendar day corresponding to your original purchase date. The renewal date and billing details will be included in your subscription confirmation receipt sent to the email address associated with your account. You may cancel your subscription at anytime. Cancellation will prevent future charges but will not affect charges already incurred.
C. Refunds
You may cancel your Reaberry subscription at any time; however, fees already paid are generally non-refundable. No partial or prorated refunds will be provided for unused time remaining in a billing period unless otherwise required by applicable law or expressly stated in a specific service agreement. If you cancel your subscription, the cancellation will take effect at the end of the current billing period. You will retain access to the Service until that period expires. Reaberry may, atits discretion, provide partial or prorated refunds in limited circumstances where such refunds are specifically described in the pricing or service terms for a particular program or where required by applicable law. If your account is suspended or terminated due to a violation of these Terms, you understand and agree that you will not be entitled to any refund for subscription fees, unused service time, licenses, credits, or associated account data.
D. Free Trials
Reaberry may offer free trial access to certain services for new or eligible returning users. Free trials are subject to specific eligibility requirements and conditions presented at the time of registration. To avoid being charged, you must cancel your subscription before the free trial period ends. If you do not cancel before the expiration of the trial period, the payment method provided at sign-up will be automatically charged with the applicable subscription fee. You can view the details and expiration date of your free trial within your account settings. Reaberry reserves the right to determine eligibility for free trials, limit the duration of trials, or modify or discontinue free trial offers at any time.
E. Cancellations
You may cancel your subscription at any time by logging into your Reaberry account and following the cancellation instructions in the billing or account settings section. To avoid being charged for the next billing cycle, you must cancel your subscription beforethe scheduled renewal date. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period,after which your subscription will not be renewed. Canceling a subscription does not automatically delete your account or remove stored data. If you choose to permanently delete your account, you acknowledge that any associated data may be permanently removed and may not be recoverable.
F. Payment Information and Taxes
You agree to provide accurate, complete, and current payment information for all transactions conducted through the Service. You are responsible for maintaining updated billing information and ensuring that your payment method remains valid.You authorize Reaberry to charge your designated payment method for all applicable fees, charges, and expenses incurred in connection with your use of the Service. You are also responsible for paying any applicable taxes, duties, or government-imposed charges associated with your subscription or use of the Service, unless otherwise stated. Reaberry may collect and remit taxes where required by law.

Data Security and Backup

Reaberry implements reasonable administrative, technical, and organizational safeguards to protect the security of data stored within the Service. However, no system can be completely secure, and we cannot guarantee absolute protection against unauthorized access, data loss, or cyber incidents. Users are responsible for maintaining independent backups of critical data and ensuring compliance with their own regulatory or contractual obligations.

Termination and Suspension

We reserve the right to suspend or terminate your access to the Service at anytime if we reasonably believe that you have violated these Terms, engaged in unlawful activity, failed to pay applicable fees, or created risk to the security or operation of the Service. Upon termination, your right to use the Service will immediately cease. Certain provisions of these Terms, including those relating to liability, intellectual property, and dispute resolution, will survive termination.

Disclaimer of Warranties

The Service is provided on an "as is" and"as available" basis without warranties of any kind, whether express or implied. To the maximum extent permitted by law, Reaberry disclaims all warranties, including implied warranties of merchantability, fitness for aparticular purpose, and non‑infringement. We do not guarantee that the Service will be uninterrupted, error‑free,or completely secure, or that any defects will be corrected.

Limitation of Liability

To the fullest extent permitted by applicable law, Reaberry and its affiliates, officers, employees, and service providers shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Service, including loss of data, revenue, or business opportunities. Our total liability for any claim arising from the Service shall not exceed the total amount paid by you to Reaberry during the six(6) months preceding the event giving rise to the claim, or one hundred dollars(CAD $100), whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless Reaberry and its affiliates from any claims, damages, liabilities, or expenses arising from your use of the Service, your violation of these Terms, your User Content, or your violation of any applicable law or third‑party rights.

Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable there in, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration conducted in Ontario, Canada,unless otherwise required by applicable law. Each party agrees to waive the right to participate in class actions or jury trials to the extent permitted bylaw.

Changes to the Service

Reaberry may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, interruption, or discontinuation of the Service.

Severability and Entire Agreement

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any additional agreements referenced herein, constitute the entire agreement between you and Reaberry regarding the Service.
